Notice from the Registrar (REQ): regularize before striking off

What to do if… · revised 2026-10-30

The Quebec Enterprise Registrar writes to you: update declarations are missing, or required information has not been provided. This notice is not decorative - it is the step before striking off - but it is also exactly the moment when everything can still be settled simply.

What the notice means

Every registered enterprise must file an update declaration each year - confirming that the information in the register is accurate, or declaring the changes (P-44.1, s. 45). After two consecutive years of default, the registrar may strike the registration off on its own initiative - and must notify you beforehand (ss. 73 and 59). For a legal person constituted in Quebec, striking off entails dissolution (s. 59). The notice you are holding is therefore the moment to act: an enterprise that has been notified can still regularize.

The law gives you 60 days to remedy the default, from the registrar’s request (s. 73). That request states that penal proceedings may be brought and, where applicable, that the registration may be struck off if you do not comply. A copy is filed in the register: you can therefore find it and check its date.

Regularizing, in order

What not to do

If the striking off has already happened

Revoking a striking off is possible (s. 63): it requires all the missed declarations and the accumulated fees and penalties. For a dissolved legal person, the path is legal - get help (a lawyer or an accountant) rather than navigating alone.

And the rest of your obligations? A REQ notice is often a sign that an entire compliance file has fallen behind. The free assessment on the home page tells you in a few questions which of your obligations - harassment, Law 25, health and safety - need a document, and where you stand.
